This includes serving as temporary general counsel to infrastructure, paper, technology, and utilities clients facing complex, high-stakes situations—negotiating sophisticated EPC contracts, SaaS agreements, IP and licensing arrangements, distribution agreements, marketing contracts, joint investment vehicles, and consulting agreements exceeding one billion dollars in aggregate value. I serve as outside general counsel when companies need top-tier legal leadership during critical junctures without the cost structure of a full in-house department, handling governance, contract negotiations, regulatory compliance, employment matters, and strategic planning.
My M&A practice coordinates and collaborates with other law firms through all phases of the transaction lifecycle, from initial due diligence and deal structuring through negotiation, regulatory approvals, and post-closing integration. I guide clients through pre- and post-M&A strategy and integration planning to ensure business and legal consistency across jurisdictions with the support of trusted local advisors and law firms, addressing everything from regulatory compliance and employment matters to intellectual property and commercial contracts. My M&A work includes both buy-side and sell-side representation, asset sales and divestitures, and corporate restructurings.
In the energy and infrastructure sectors, I have extensive experience drafting and negotiating power purchase agreements on behalf of renewables companies and private equity investors, as well as negotiating contracts for large-scale infrastructure projects including oil and gas platforms, natural gas pipelines, and sugar mill facilities. I understand both the technical aspects of these industries and the commercial dynamics that drive deal structure and negotiation. My infrastructure work extends to manufacturing and industrial facility contracts, addressing construction, procurement, operations, and maintenance arrangements in complex, multi-party settings.
For technology companies, I handle the full range of commercial transactions, including software licensing, SaaS agreements, platform terms of service, and strategic partnerships. My technology practice combines legal expertise with business understanding, enabling me to draft agreements that protect my clients' interests while facilitating commercial relationships. I negotiate vendor and supplier contracts, review and structure joint ventures and strategic alliances, and provide ongoing contract portfolio review and risk assessment services to help clients manage their commercial relationships effectively.
My corporate governance practice includes entity formation and structuring, shareholder agreements, corporate governance documentation, board advisory services, and strategic planning support. I work with clients to establish appropriate corporate structures for their business objectives, whether they are startup companies requiring initial formation documents or established businesses undertaking corporate reorganizations or expansions into new markets.
